Terms & Conditions

These Terms & Conditions apply to purchases, orders, quotations, shipments, returns, website use, and related transactions with US Solar Mounts Corp.

1. Acceptance of Terms

These Terms & Conditions apply to all quotations, orders, purchases, sales, shipments, deliveries, returns, website transactions, and other transactions involving products, components, parts, services, information, or materials supplied by US Solar Mounts Corp (“USSM”). By placing an order, accepting a quotation, purchasing a product, submitting payment, accepting delivery, using this website, requesting service, requesting return authorization, or otherwise conducting business with USSM, the customer agrees to these Terms & Conditions.

These Terms & Conditions are intended to supplement, and not replace, any applicable written quotation, order confirmation, invoice, Limited Product Warranty, Shipping & Returns Policy, written agreement, or other written document issued by USSM. In the event of a conflict between these Terms & Conditions and a product-specific written warranty issued by USSM, the written warranty shall govern warranty coverage for that product.

2. Orders and Acceptance

All orders are subject to acceptance by USSM. Receipt of an order, electronic order confirmation, automated website confirmation, payment authorization, or payment receipt does not constitute final acceptance of an order. USSM may accept, reject, cancel, hold, or request additional information regarding any order at its discretion.

USSM may require additional information before accepting, processing, manufacturing, configuring, packaging, shipping, or completing any order. Orders may be delayed, refused, or cancelled if required information is not provided, if payment cannot be verified, if the destination cannot be serviced, if product availability changes, or if USSM determines that the order presents unacceptable risk.

Orders involving custom products, special-order items, non-standard configurations, dealer pricing, freight shipments, international shipments, tax-exempt purchases, or other special circumstances may be subject to additional requirements, lead times, charges, conditions, or written approvals.

3. Pricing and Product Information

Prices, product descriptions, specifications, images, dimensions, availability, shipping charges, lead times, and related information are subject to change without notice. USSM makes reasonable efforts to provide accurate product and pricing information; however, errors, omissions, inaccuracies, or outdated information may occur.

USSM reserves the right to correct any error, omission, inaccuracy, pricing mistake, product description error, availability error, or shipping charge error at any time, including after an order has been submitted. If an order is affected by an error or correction, USSM may contact the customer for approval of the corrected terms, cancel the order, or take other action determined by USSM to be appropriate.

Product images, drawings, diagrams, renderings, website photographs, catalog images, and marketing materials are provided for general reference only and may not depict every product option, component, configuration, revision, or current design detail.

4. Payment Terms

Unless otherwise agreed in writing by USSM, payment is due at the time of order. USSM may require full payment, partial payment, deposit, progress payment, cleared funds, credit approval, or other payment arrangements before accepting, processing, manufacturing, packaging, shipping, or releasing any order.

Customer is responsible for all amounts due, including product charges, shipping, freight, handling, taxes, payment-processing charges, accessorial charges, special-order charges, custom-product charges, cancellation charges, restocking fees, return shipping, and any other applicable charges.

USSM may withhold shipment, cancel an order, suspend performance, revoke credit terms, require alternate payment, or delay fulfillment if payment is declined, disputed, reversed, charged back, delayed, incomplete, unverifiable, or otherwise unacceptable to USSM.

5. Taxes

Customer is responsible for all applicable sales tax, use tax, excise tax, duties, tariffs, import charges, customs fees, governmental charges, and similar taxes or fees associated with any order, purchase, shipment, delivery, or transaction unless a valid exemption certificate or other required documentation is provided to and accepted by USSM.

Tax-exempt customers must provide a valid and complete exemption certificate before the order is processed as tax-exempt. If tax-exempt documentation is incomplete, invalid, expired, rejected, or not provided when required, USSM may charge applicable tax or require additional documentation before processing the order.

6. Shipping, Delivery, Title, and Risk of Loss

Shipping and delivery are governed by these Terms & Conditions and the USSM Shipping & Returns Policy. USSM may select the carrier, shipping method, packaging method, freight class, shipment configuration, and delivery requirements for any order unless otherwise agreed in writing by USSM.

Unless otherwise agreed in writing by USSM, title and risk of loss pass to the customer when products are delivered to the carrier, freight company, shipping provider, or other transportation provider for shipment. USSM is not responsible for carrier delays, freight delays, delivery delays, missed delivery appointments, loss, damage, shortage, or other shipping-related issues after the product has been tendered to the carrier, except to the extent expressly stated in writing by USSM.

The customer is responsible for providing complete and accurate shipping information and for ensuring that the delivery location is accessible, safe, and capable of receiving the shipment.

7. International Shipments

For small international shipments, such as replacement parts or other parcel-sized items, USSM may, at its discretion, ship by FedEx, UPS, or another parcel carrier selected or approved by USSM.

For larger products, systems, assemblies, or other items requiring freight shipment outside the United States, the customer is responsible for arranging all international freight, shipping, export, import, customs, brokerage, delivery, and related logistics unless otherwise expressly agreed in writing by USSM.

For customer-arranged international freight shipments, the customer is responsible for selecting the freight forwarder, carrier, customs broker, delivery method, delivery destination, and all related shipment arrangements. The customer is also responsible for all freight charges, shipping charges, duties, tariffs, taxes, import fees, export fees, brokerage fees, customs charges, storage charges, accessorial charges, documentation charges, delivery charges, and any other cost, fee, tax, duty, or charge associated with the international shipment.

USSM is not responsible for delays, loss, damage, customs clearance issues, import restrictions, export restrictions, duties, tariffs, taxes, brokerage issues, freight-forwarder issues, carrier issues, delivery issues, abandoned shipments, refused shipments, or other costs or problems arising from or related to customer-arranged international freight shipments.

Customer is responsible for determining whether any product may lawfully be imported into the destination country and for complying with all applicable import, export, customs, tax, regulatory, documentation, certification, and delivery requirements.

8. Delivery Dates and Delays

Delivery dates, shipment dates, lead times, transit times, production schedules, and estimated availability dates are estimates only and are not guaranteed unless expressly agreed in writing by USSM. USSM shall not be liable for delay, loss, damage, expense, lost income, lost profits, lost opportunity, project delay, contractor delay, installation delay, or other damages resulting from late shipment, late delivery, delayed production, carrier delay, supply-chain delay, or other delay.

USSM may make partial shipments, delayed shipments, substituted shipment arrangements, or shipment schedule changes when determined by USSM to be necessary or appropriate.

9. Cancellations

Order cancellation requests must be submitted to USSM as soon as possible. Cancellation is not guaranteed once an order has been processed, prepared for shipment, packaged, scheduled with a carrier, shipped, custom-built, special-ordered, or otherwise entered into fulfillment.

Approved cancellations may be subject to a twenty percent (20%) cancellation or restocking fee, as well as any shipping, freight, packaging, payment-processing, special-order, custom-product, or other costs incurred by USSM before cancellation.

USSM reserves the right to deny cancellation of any order that has already shipped, has been specially manufactured, has been custom configured, has been specially ordered, or cannot be cancelled without cost or loss to USSM.

10. Returns and RMA Requirements

Returns are accepted only when approved in advance by USSM and only when a valid Return Material Authorization (RMA) has been issued by USSM. Products returned without an authorized RMA may be refused, returned to sender, or held pending receipt of required information.

To request authorization before sending any product, component, or part to USSM, complete the RMA Request Form. Submission of the RMA Request Form does not constitute approval of warranty coverage, return authorization, repair, replacement, refund, exchange, or credit.

Approved returns are subject to the conditions, limitations, restocking fees, packaging requirements, and other requirements stated in the Shipping & Returns Policy and any RMA instructions issued by USSM.

11. Warranty

Product warranty coverage, exclusions, claim procedures, remedies, limitations, and related requirements are governed by the current USSM Limited Product Warranty, unless a separate written warranty issued by USSM expressly applies to a specific product.

Submission of a warranty claim, request for troubleshooting, request for return authorization, return of a product or component, or shipment of an advance replacement does not constitute approval of warranty coverage, admission of liability, agreement that a product is defective, or waiver of any warranty requirement, exclusion, limitation, or defense.

Repair or replacement under the applicable written warranty, if approved by USSM, constitutes the customer’s sole and exclusive warranty remedy unless otherwise required by applicable law.

12. Advance Replacement Parts

If USSM ships replacement parts, components, or products before warranty evaluation is complete, the customer will be charged for the advance replacement parts, components, products, shipping, freight, and related costs.

Credit, if any is due, will be issued only after USSM receives and evaluates the original part, component, or product requested for return. Any credit will be determined by USSM based on the applicable warranty terms, the condition of the returned item, the cause of failure, and whether the returned item is eligible for warranty coverage.

If the original part, component, or product is not returned, is returned late, is returned damaged due to improper packaging or shipment, is returned incomplete, or is returned in a condition that prevents evaluation, USSM may deny credit or issue only partial credit, as determined by USSM.

13. Product Suitability and Customer Responsibility

Customer is responsible for determining whether any product, component, system, design, recommendation, configuration, or application is suitable for the customer’s intended use, site conditions, waterbody, electrical service, installation location, operating environment, project requirements, regulatory requirements, and other circumstances.

USSM may provide product information, sizing information, design assistance, recommendations, calculations, examples, estimates, or general guidance. Such information is provided for general assistance only and does not relieve the customer, owner, installer, contractor, engineer, electrician, or other responsible party from verifying suitability, installation requirements, code compliance, operating conditions, and site-specific requirements.

Customer assumes responsibility for product selection, site conditions, installation conditions, operation, maintenance, electrical service, environmental conditions, and any consequences arising from improper selection, improper installation, improper operation, lack of maintenance, unsuitable conditions, or use outside published specifications.

14. Installation and Code Compliance

Customer is responsible for ensuring that all products are installed, operated, maintained, serviced, stored, and used in accordance with applicable USSM instructions, owner’s manuals, installation manuals, product labels, published specifications, manufacturer instructions, applicable electrical codes, building codes, safety requirements, permitting requirements, and other laws, rules, regulations, and standards.

Electrical work should be performed by qualified persons in accordance with applicable electrical codes and site requirements. USSM is not responsible for improper installation, improper electrical service, undersized wiring, voltage drop, improper grounding, improper overcurrent protection, code violations, permitting issues, contractor performance, installer performance, or site conditions unless expressly agreed in writing by USSM.

15. Limitation of Liability

To the fullest extent permitted by applicable law, USSM shall not be liable for any injury, loss, claim, damage, cost, expense, or liability exceeding the original purchase price paid by the customer for the affected product, assembly, system, component, or part supplied by USSM that gives rise to the claim.

USSM’s liability, if any, shall be limited to the remedies expressly stated in the applicable written warranty, written agreement, order document, or these Terms & Conditions. Customer agrees that repair, replacement, refund, credit, or other remedy expressly approved by USSM, as applicable, shall be the customer’s sole and exclusive remedy to the fullest extent permitted by law.

16. No Consequential Damages

To the fullest extent permitted by applicable law, USSM shall not be liable for any direct, indirect, incidental, consequential, exemplary, punitive, special, or other damages arising from or relating to any product, order, shipment, delivery, delay, return, warranty claim, installation, operation, failure, inability to use, or transaction, regardless of the legal theory asserted, including contract, negligence, strict liability, warranty, or otherwise.

Without limiting the foregoing, USSM shall not be liable for lost profits, lost income, lost business, lost opportunity, business interruption, loss of goodwill, loss of reputation, project delay, installation delay, contractor charges, labor charges, rental equipment, cranes, excavation, electrical work, plumbing work, travel expenses, fish mortality, loss of aquatic life, water quality degradation, algae growth, environmental loss, biological damages, damage to real property, damage to personal property, or other consequential or special damages.

17. Website Use

Use of the USSM website is subject to these Terms & Conditions and any other website policies posted by USSM. Website content is provided for general informational and commercial purposes only and may be changed, corrected, updated, removed, or modified at any time without notice.

Customer agrees not to misuse the website, interfere with website operation, attempt unauthorized access, submit false information, misuse forms, engage in fraudulent activity, copy website content for improper purposes, or use the website in violation of applicable law.

18. Errors, Omissions, and Changes

USSM reserves the right to correct errors, omissions, inaccuracies, outdated information, typographical errors, pricing errors, product-description errors, availability errors, shipping errors, and other mistakes at any time. USSM may update, change, discontinue, improve, modify, redesign, or revise products, specifications, components, pricing, policies, website content, and documentation without notice.

USSM is not obligated to update, retrofit, modify, replace, or upgrade products previously sold because of later product changes, specification changes, design changes, website changes, documentation changes, or policy changes unless expressly required by applicable law or expressly agreed in writing by USSM.

19. Refusal of Sale, Shipment, or Service

USSM reserves the right, to the fullest extent permitted by applicable law, to refuse or cancel any order, decline any sale, refuse shipment, or refuse service to any person, entity, or destination where USSM determines that the transaction presents legal, regulatory, payment, fraud, logistics, safety, commercial, reputational, or other business risk.

USSM may delay, refuse, cancel, or condition any order, shipment, sale, service request, return request, or transaction if USSM determines that additional information is required, payment cannot be verified, fraud risk exists, the destination cannot be serviced, shipment is prohibited or restricted, customer conduct is abusive or threatening, the transaction presents safety or compliance concerns, or other unacceptable risk exists.

20. Governing Law

These Terms & Conditions and any transaction with USSM shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to conflict-of-law principles that would require application of the law of another jurisdiction.

21. Venue

Any legal action, claim, dispute, or proceeding arising out of or relating to these Terms & Conditions, any order, any product, any shipment, any return, any warranty claim, any website transaction, or any transaction with USSM shall be brought exclusively in a court of competent jurisdiction located in Monroe County, Wisconsin, unless otherwise required by applicable law.

22. Severability

If any provision of these Terms & Conditions is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by applicable law. Any invalid, unlawful, or unenforceable provision shall be interpreted, modified, or limited to the minimum extent necessary to make it valid and enforceable while preserving the intended purpose of the provision as closely as possible.

23. Entire Agreement

These Terms & Conditions, together with any applicable written quotation, order confirmation, invoice, Limited Product Warranty, Shipping & Returns Policy, written RMA instructions, and any written agreement issued or expressly approved by USSM, constitute the applicable terms governing the transaction unless otherwise agreed in writing by an authorized officer of USSM.

No dealer, distributor, installer, contractor, salesperson, representative, employee, website content, verbal statement, or other communication may modify, enlarge, waive, or alter these Terms & Conditions unless expressly agreed in writing by an authorized officer of USSM.

24. Changes to Terms

USSM reserves the right to update, modify, replace, or revise these Terms & Conditions at any time. The Terms & Conditions in effect at the time of order acceptance, purchase, shipment, website use, return request, warranty claim, or other transaction shall apply to that transaction unless otherwise required by applicable law or expressly agreed in writing by USSM.

Customers are encouraged to review these Terms & Conditions, the Shipping & Returns Policy, and the Limited Product Warranty before placing an order, submitting a return request, or submitting a warranty claim.
